THESE PARTNER/AFFILIATE PROGRAM TERMS & CONDITIONS (THIS “AGREEMENT”) GOVERN YOUR PARTICIPATION IN THE AGENTPACK PARTNER/AFFILIATE PROGRAM, WHICH COVERS THE KEUM.AI AND AUDIOPUB.AI PRODUCTS AND SERVICES. BY (A) CHECKING THE “I AGREE” CHECKBOX ON THE PARTNER APPLICATION FORM, (B) SUBMITTING A PARTNER APPLICATION, OR (C) CONTINUING TO PARTICIPATE IN THE PROGRAM AFTER BEING NOTIFIED OF UPDATES TO THIS AGREEMENT, YOU AGREE TO BE BOUND BY THE TERMS OF THIS AGREEMENT IN THEIR ENTIRETY.
THE INDIVIDUAL ACCEPTING THIS AGREEMENT DOES SO ON BEHALF OF THEMSELVES OR, WHERE APPLICABLE, A COMPANY OR OTHER LEGAL ENTITY (“PARTNER” OR “YOU”). SUCH INDIVIDUAL REPRESENTS AND WARRANTS THAT THEY HAVE THE AUTHORITY TO BIND SUCH ENTITY TO THIS AGREEMENT. IF YOU DO NOT AGREE WITH THESE TERMS AND CONDITIONS, YOU MUST NOT SUBMIT AN APPLICATION AND MAY NOT PARTICIPATE IN THE PROGRAM.
THIS AGREEMENT IS PUBLISHED AT KEUM.AI/LEGAL/PARTNER-TERMS AND IS UPDATED FROM TIME TO TIME IN ACCORDANCE WITH SECTION 14. PARTNERS ACCEPTED UNDER ANY PRIOR VERSION OF THIS AGREEMENT ARE BOUND BY ALL SUBSEQUENT VERSIONS AS THEY TAKE EFFECT, FOR AS LONG AS THEY REMAIN ACTIVE PARTICIPANTS IN THE PROGRAM.
1. Definitions
The following terms have the meanings set forth below throughout this Agreement:
- “AgentPack” means AgentPack, Inc., a Delaware corporation, and its successors and assigns.
- “Partner” means any individual, agency, firm, or company admitted to the Program by AgentPack.
- “Program” means the AgentPack Partner/Affiliate Program, covering all Qualified Products listed in Section 2.
- “Qualified Products” means keum.ai and audiopub.ai, and any additional products AgentPack designates as covered by this Program.
- “Referral” means a prospective customer introduced to a Qualified Product by a Partner using a unique Partner referral link, who subsequently creates an account and completes a paid subscription.
- “Commission” means the monetary compensation payable to a Partner pursuant to Section 5 of this Agreement.
- “Subscription Fee” means the monthly or annual fee paid by a referred customer to AgentPack for a Qualified Product.
- “Active Subscription” means a paid subscription to a Qualified Product that has not been cancelled, suspended, or lapsed.
- “Founding Partner” means a Partner accepted into the Program prior to the public commercial launch of a Qualified Product.
- “Partner Portal” means the web-based platform operated by or on behalf of AgentPack through which Partners access referral links, track performance, and manage payouts.
2. Qualified Products
The Partner/Affiliate Program covers the following AgentPack products. AgentPack may add or remove products from time to time upon written notice to Partners.

3. Partner Eligibility & Enrollment
3.1 Eligibility
The Program is open to individuals, agencies, and businesses worldwide, subject to AgentPack’s approval. AgentPack reserves the right to accept or reject any application at its sole discretion, without obligation to provide reasons.
3.2 Application Process
Prospective Partners must submit an application through the Partner Portal. Applications are reviewed within 5 business days. Approval is confirmed by written notice (including email) from AgentPack.
3.3 Partner Conduct
Partners represent and warrant that they:
- Are at least 18 years of age (or the legal age of majority in their jurisdiction);
- Have the legal authority to enter into this Agreement;
- Will not engage in misleading, deceptive, or fraudulent promotional practices;
- Will comply with all applicable laws, regulations, and platform policies in all markets where they operate;
- Will not make any representations about the Qualified Products that are not expressly authorised by AgentPack.
3.4 Partner Portal Access
Upon acceptance, Partners receive access to the Partner Portal, which provides a unique referral link, performance analytics, and commission statements. Partner Portal credentials are personal and non-transferable.
4. Free Trial Offers
4.1 Standard Trial
All customers who sign up for a Qualified Product via a Partner referral link are entitled to a standard 1-month free trial of the Growth plan, with full access to all AI agents and features. No credit card is required during the standard trial.
Free trials under this Program are subject to AgentPack’s Terms of Service, which provide that free trials are available only once per customer. A customer who has previously activated a free trial of a Qualified Product through any channel — including direct sign-up, another referral, or a promotional campaign — is not eligible for a further free trial under this Program.
4.2 Extended Trial
Partners may, at their sole discretion, elect to offer referred customers an extended 3-month free trial of the Growth starter plan. The trial length elected at the time of referral applies to that referral and cannot be changed retroactively unless approved by AgentPack.
4.3 Effect on Commissions
Commissions are calculated on actual payments received from referred customers. No commission is earned during any free trial period, regardless of its duration. Year 1 commission eligibility commences from the first paid subscription month following the expiry of the applicable free trial.
5. Commission Structure
5.1 Year 1 Commission
For the 12-month period immediately following a referred customer’s first paid subscription month, the Partner earns a commission equal to 25% of the Subscription Fee paid by that customer each month.
5.2 Year 2 and Beyond — Lifetime Passive Commission
From the 13th paid subscription month onward, the Partner earns a passive commission equal to 5% of the Subscription Fee paid by that customer each month, for as long as the customer maintains an Active Subscription and continues to be serviced by the partner. This passive commission continues indefinitely with no expiry date, subject to this Agreement remaining in effect.
5.4 Plan Upgrades
If a referred customer upgrades to a higher-tier plan, the Partner’s commission automatically increases proportionally from the billing cycle in which the upgrade takes effect. This applies to both Year 1 (25%) and Year 2+ (5%) commission rates.
5.5 Annual Billing
Where a referred customer elects annual billing, the Subscription Fee paid is the annual plan price. Commissions are calculated on the actual amount paid. For annual subscribers, Year 1 commission is paid on receipt of the annual payment; Year 2+ passive commission applies upon renewal.
5.6 No Commission on Free Trials or Refunds
No commission is earned on free trial periods, voided payments, chargebacks, or refunded transactions. If AgentPack issues a refund for any reason on a transaction for which commission has already been paid, AgentPack reserves the right to deduct the corresponding commission amount from future payments or seek a refund from the Partner.
6. Payment Terms
6.1 Payment Schedule
Commissions are calculated monthly, based on verified payments received from referred customers during each calendar month. AgentPack will process payment to the Partner within 30 days following the close of each calendar month.
6.2 Minimum Payout Threshold
AgentPack does not impose a minimum payout threshold. All earned commissions, regardless of amount, will be paid on schedule. Partners are responsible for any transaction fees levied by their payment provider or bank.
6.3 Payment Method
Payments are processed via the Partner Portal’s integrated payout infrastructure. Partners must configure a valid payout method within the Partner Portal. AgentPack supports international payments.
6.4 Currency
All commissions are calculated and paid in US Dollars (USD), unless otherwise agreed in writing between AgentPack and the Partner.
6.5 Taxes
Each Partner is solely responsible for determining and fulfilling their own tax obligations arising from commissions received under this Agreement. AgentPack may request tax documentation (e.g., IRS Form W-9 or W-8BEN) before processing payments.
6.6 Payment Disputes
Partners must notify AgentPack in writing of any dispute regarding a commission statement within 30 days of receipt of that statement. Disputes raised after this period may not be honoured. AgentPack will investigate and respond to all valid disputes within 14 business days.
7. Referral Attribution & Tracking
7.1 Attribution Method
Referral attribution is tracked via the Partner’s unique referral link, which sets a tracking cookie on the referred customer’s browser. Last-click attribution applies: where a customer has been referred by multiple Partners, the Partner whose link was most recently clicked before signup receives the commission.
7.2 Cookie Duration
The referral tracking cookie has a duration of 90 days. If a referred customer completes a qualifying sign-up within 90 days of clicking the Partner’s referral link, the Referral is attributed to that Partner.
7.3 Reactivated Customers
If a referred customer cancels their subscription and subsequently reactivates, the original Partner’s attribution is preserved, provided the customer reactivates using the same account and is still being serviced by the Partner. Commissions resume from the first paid month following reactivation.
7.4 Direct Referrals
Referrals must be made using the Partner’s unique referral link. AgentPack does not accept verbal, email, or manual referral claims. Referrals submitted outside the Partner Portal tracking system are not eligible for commission. There is no exception to this requirement.
8. Milestone Rewards
In addition to standard commissions, AgentPack offers discretionary surprise reward packages to Partners who achieve Annual Recurring Revenue (ARR) milestones in new revenue generated within a rolling 12-month period.
Milestone rewards are discretionary and do not form part of any contractual entitlement. Milestones are assessed on a rolling 12-month basis and reset annually. AgentPack reserves the right to cancel or modify reward values and categories at any time.
9. Onboarding Support
AgentPack will provide guided onboarding assistance for the first 10 customers referred by each Partner per Qualified Product, at no additional cost. This support includes AI agent configuration, knowledge base setup, and integration assistance. Onboarding is typically delivered via a scheduled setup session within 24 hours of the referred customer’s sign-up.
Onboarding support beyond the first 10 customers or beyond the scope per product may be purchased separately; current rates are available on request from partners@agentpack.ai.
10. Marketing Materials & Brand Usage
10.1 Authorised Materials
AgentPack will make available to Partners a marketing kit. Partners may use the materials solely for the purpose of promoting the Qualified Products in accordance with this Agreement.
10.2 Authorised Sales Activities
Partners are expressly authorised to demonstrate the Qualified Products to prospective customers, including live demonstrations, screen-share sessions, recorded walkthroughs, and trial access walkthroughs. Partners must not grant prospective customers independent access credentials or enable third-party account creation outside of the standard referral link process.
10.3 Brand Guidelines
Partners must adhere to AgentPack’s brand guidelines when using the trademarks, logos, and brand assets of AgentPack, keum.ai, and audiopub.ai, as published in the Partner Portal. Unauthorised modification of brand assets or use in any manner that may damage AgentPack’s reputation is strictly prohibited.
10.4 Prohibited Representations
Partners must not:
- Make any guarantees, warranties, or representations about the Qualified Products beyond what is expressly set out in AgentPack’s official materials;
- Use the brand assets in any way that implies an employment, joint venture, or agency relationship with AgentPack;
- Engage in paid search advertising that directly targets AgentPack’s branded keywords, without prior written approval;
- Publish false, misleading, or deceptive comparisons or statements about the Qualified Products.
10.5 Approval of Materials
Partners wishing to create custom promotional materials must obtain written approval from AgentPack prior to publication. Requests should be submitted to partners@agentpack.ai.
11. Confidentiality
Each party agrees to keep confidential all non-public information received from the other party in connection with this Agreement, including individual commission arrangements, non-public customer data, business strategies, product roadmaps, and proprietary pricing structures. This obligation survives termination of this Agreement for a period of 5 years, except that obligations with respect to trade secrets shall continue indefinitely.
12. Data Protection & Privacy
Each party will comply with all applicable data protection and privacy laws. Partners must not collect, store, or process personal data of prospective or referred customers except as strictly necessary for referral purposes.
Where a Partner is based in or targets customers in the EEA or United Kingdom, they must comply with GDPR or UK GDPR requirements as applicable. AgentPack’s processing of personal data is governed by AgentPack’s Data Processing Agreement (DPA), available at keum.ai/data-processing-agreement/. Partners who process personal data should review and, where applicable, execute the DPA with AgentPack by contacting legal@agentpack.ai.
13. Term & Termination
13.1 Term
This Agreement commences on the date the Partner submits a partner application and continues indefinitely unless terminated in accordance with this Section.
13.2 Termination by Partner
A Partner may terminate this Agreement at any time by providing 30 days’ written notice to AgentPack at partners@agentpack.ai. Any commissions earned but unpaid as of the effective date of termination will be paid in accordance with the standard payment schedule.
13.3 Termination by AgentPack
AgentPack may terminate this Agreement immediately, without notice, if the Partner is found to have engaged in fraudulent activity, material misrepresentation, or a material breach of this Agreement not cured within 15 business days of written notice; or upon 30 days’ written notice, for any reason, at AgentPack’s sole discretion.
13.4 Effect of Termination
Upon termination: (i) the Partner’s referral link will be deactivated; (ii) no new commissions will accrue after the termination date; (iii) commissions on prior referrals will continue to be paid in accordance with this Agreement for the duration of those customers’ active subscriptions, unless termination was due to Partner fraud or material breach.
14. Modifications to this Agreement
We may modify this Agreement from time to time by posting a revised version at keum.ai/legal/partner-terms or by providing notice through the Partner Portal or by email. Material changes will be effective 30 days after we post or notify you of the changes, except that changes required by law may be effective immediately.
Notwithstanding the foregoing, any reduction in commission rates shall be subject to a grandfathering period of 12 months from the effective date of the change for customers already referred by the Partner prior to that date.
15. Representations & Warranties
Each party represents and warrants that: (i) it has the legal right and authority to enter into this Agreement; (ii) its performance of this Agreement will not violate any applicable law, regulation, or third-party right; and (iii) any information it provides to the other party is accurate and complete.
EXCEPT AS EXPRESSLY SET OUT IN THIS AGREEMENT, AGENTPACK MAKES NO WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
16. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, AGENTPACK’S TOTAL LIABILITY TO THE PARTNER UNDER OR IN CONNECTION WITH THIS AGREEMENT SHALL NOT EXCEED THE TOTAL COMMISSIONS PAID TO THE PARTNER IN THE 3 MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM. IN NO EVENT SHALL AGENTPACK BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.
16.1 Exceptions to Liability Cap
The limitations in this Section 16 do not apply to: (a) AgentPack’s payment obligations for commissions validly earned; (b) either party’s indemnification obligations under Section 17; (c) damages arising from AgentPack’s willful misconduct, or fraud; or (d) any liability that cannot be excluded or limited under applicable law.
17. Indemnification
17.1 Partner Indemnification
The Partner agrees to indemnify, defend, and hold harmless AgentPack, its affiliates, officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses arising out of or relating to: (i) the Partner’s participation in the Program; (ii) any breach of this Agreement by the Partner; (iii) any negligent or wrongful act or omission by the Partner; or (iv) any claim by a third party arising from the Partner’s promotional activities.
17.2 AgentPack Indemnification
AgentPack agrees to indemnify, defend, and hold harmless the Partner from and against any third-party claims arising out of or relating to: (i) any claim that the Qualified Products infringe or misappropriate any third party’s intellectual property rights; or (ii) any data breach caused solely by AgentPack’s failure to maintain reasonable security measures.
17.3 Indemnification Procedure
The party seeking indemnification shall: (a) promptly notify the indemnifying party in writing of the claim; (b) grant the indemnifying party sole control of the defence and settlement; and (c) provide reasonable cooperation and assistance in the defence at the indemnifying party’s expense.
18. Independent Contractor
The Partner is an independent contractor of AgentPack. Nothing in this Agreement creates any employment, partnership, joint venture, agency, franchise, or sales representative relationship between the parties. The Partner is solely responsible for all taxes, insurance, and other obligations arising from their status as an independent contractor.
19. Governing Law & Dispute Resolution
This Agreement is governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.
19.1 Mandatory Arbitration
Any dispute arising out of or relating to this Agreement shall first be resolved by binding arbitration administered by JAMS under its Streamlined Arbitration Rules. Arbitration proceedings shall be conducted in English in Wilmington, Delaware. The arbitrator’s decision shall be final and binding.
19.2 Class Action Waiver
EACH PARTY IRREVOCABLY WAIVES ANY RIGHT TO PARTICIPATE IN ANY CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE ARBITRATION OR LITIGATION. ALL CLAIMS UNDER THIS AGREEMENT MUST BE BROUGHT ON AN INDIVIDUAL BASIS ONLY.
19.3 Court Proceedings
Either party may seek emergency injunctive or other equitable relief from a court of competent jurisdiction to prevent irreparable harm pending the outcome of arbitration. The parties irrevocably consent to the exclusive jurisdiction of the state and federal courts located in New Castle County, Delaware.
19.4 Waiver of Jury Trial
EACH PARTY IRREVOCABLY WAIVES ANY AND ALL RIGHTS TO A TRIAL BY JURY IN ANY ACTION, PROCEEDING, OR COUNTERCLAIM ARISING OUT OF OR RELATING TO THIS AGREEMENT.
19.5 Attorney Fees
In any arbitration or court proceeding to enforce or interpret this Agreement, the prevailing party shall be entitled to recover its reasonable attorneys’ fees and costs from the non-prevailing party.
20. General Provisions
20.1 Entire Agreement
This Agreement constitutes the entire agreement between the parties with respect to the Partner/Affiliate Program and supersedes all prior negotiations, representations, warranties, and understandings relating thereto.
20.2 Severability
If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect.
20.3 Waiver
No failure or delay by either party in exercising any right or remedy under this Agreement shall constitute a waiver of that right or remedy.
20.4 Assignment
The Partner may not assign or transfer this Agreement without AgentPack’s prior written consent. AgentPack may assign this Agreement without consent in connection with a merger, acquisition, or sale of all or substantially all of its assets, provided AgentPack gives the Partner 30 days’ written notice.
20.5 Notices
All notices under this Agreement must be in writing and delivered by email or, for formal legal notices, by overnight courier or certified mail. Notices to AgentPack should be sent to legal@agentpack.ai, or by post to AgentPack, Inc., Attn: Legal Department, 1111b S Governors Avenue, STE 40565, Dover, Delaware 19904. Operational partner notices may be sent to partners@agentpack.ai.
20.6 Force Majeure
Neither party shall be liable for any failure or delay in performance due to circumstances beyond its reasonable control, including acts of God, war, terrorism, civil unrest, government actions, epidemics, pandemics, or natural disasters.
20.7 Survival
The following sections shall survive any termination or expiration of this Agreement: Section 1 (Definitions), Section 5.6, Section 6 (Payment Terms), Section 11 (Confidentiality), Section 12 (Data Protection & Privacy), Section 13.4 (Effect of Termination), Section 15 (Representations & Warranties), Section 16 (Limitation of Liability), Section 17 (Indemnification), Section 18 (Independent Contractor), Section 19 (Governing Law & Dispute Resolution), and Section 20.
20.8 Language
This Agreement is written and published in English. Any translation provided is for convenience only and the English version prevails in all cases.
